• "Order" refers to a request placed by a User to purchase Products through the Platform.
• "Content" refers to all text, images, graphics, logos, audio, video, and other materials displayed on the Platform.

Econstru is India's premier B2B lighting procurement platform designed specifically for architects, interior designers, contractors, builders, and lighting professionals. We connect industry professionals with verified lighting brands and manufacturers, offering:

The Company acts as a marketplace facilitating transactions between Users and Brand Partners. While we verify our partners and ensure quality standards, individual products are manufactured and warranted by the respective Brand Partners.

3 Account Registration

3.1 Eligibility

To create an account and use our Platform, you must:

• Be at least 18 years of age or the age of legal majority in your jurisdiction
• Have the legal capacity to enter into binding contracts
• Be a business entity or professional in the architecture, interior design, construction, or related industries
• Provide accurate, current, and complete information during registration

3.2 Account Responsibilities

• You are responsible for maintaining the confidentiality of your account credentials
• You must immediately notify us of any unauthorized access or security breach
• You are liable for all activities conducted through your account
• One person or business entity may maintain only one account
• Account sharing or transfer is strictly prohibited without prior written consent

3.3 Account Verification

We reserve the right to verify your identity and professional credentials. This may include requesting business registration documents, professional licenses, or other documentation. Failure to provide requested verification may result in account suspension or termination.

3.4 Account Termination

• All prices are displayed in Indian Rupees (INR)
• Prices include applicable Goods and Services Tax (GST) unless otherwise stated
• We reserve the right to modify prices at any time without prior notice
• Price changes will not affect orders that have already been confirmed
• Promotional prices and discounts are valid only for the specified duration

4.3 Product Availability

• All products are subject to availability at the time of order confirmation
• We reserve the right to limit quantities or refuse orders

7 Returns and Refunds

7.1 Return Policy

• Returns are accepted within 7 days of delivery for eligible products
• Products must be unused, in original packaging, with all tags intact
• Custom, made-to-order, or installed products are non-returnable
• Return shipping charges may apply for non-defective returns

7.2 Defective Products

In accordance with the Consumer Protection Act, 2019, we accept returns for:

• Defective products: Items with manufacturing defects or not conforming to the stated specifications
• Damaged in transit: Products received in damaged condition
• Wrong items: Products different from what was ordered
• Incomplete orders: Missing items or accessories

For defective products, return shipping is free and full refunds (including original shipping charges) will be processed.

7.3 Cancellation Rights

As per the Consumer Protection (E-Commerce) Rules, 2020:

• Interfering with or disrupting the Platform or its servers
• Attempting to gain unauthorized access to any part of the Platform
• Using automated tools, bots, or scrapers to access the Platform
• Collecting or harvesting user information without consent
• Posting false, misleading, or defamatory content
• Engaging in price manipulation or market abuse
• Circumventing any security measures or access controls
• Reselling products purchased through the Platform without authorization

8.2 User-Generated Content

If you submit reviews, ratings, or other content, you:

• Grant us a non-exclusive, royalty-free license to use such content
• Represent that the content is accurate and does not violate any rights
• Agree not to post content that is offensive, harmful, or inappropriate
• Acknowledge that we may remove or modify content at our discretion

9 Intellectual Property

• All content on the Platform, including text, graphics, logos, images, and software, is owned by us or our licensors
• The Econstru name, logo, and all related marks are trademarks of Atala Procure Pvt Ltd
• Brand names, logos, and product images belong to their respective owners

9.2 Restrictions

You may not, without our prior written consent:

• Copy, reproduce, or distribute any content from the Platform
• Modify, adapt, or create derivative works
• Use any data mining, robots, or similar data gathering tools
• Frame or mirror any portion of the Platform
• Use our trademarks or branding in any manner

9.3 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Platform for its intended purpose. This license does not include the right to commercialize any content or data obtained from the Platform.

10 Disclaimers

10.1 Platform Availability

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not guarantee that the Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

10.2 Product Information

While we strive for accuracy, we do not warrant that product descriptions, pricing, or other content is accurate, complete, reliable, current, or error-free. Product warranties are provided by the respective manufacturers, not by Econstru.

10.3 Third-Party Content

The Platform may contain links to third-party websites or services. We are not responsible for the content, accuracy, or practices of any third-party sites. Your use of third-party sites is at your own risk.

11 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• We shall not be liable for any loss of profits, revenue, data, or business opportunities
• Our total liability for any claim shall not exceed the amount you paid for the specific product or service giving rise to the claim
• We are not liable for damages arising from your use of or inability to use the Platform

12 Indemnification

You agree to indemnify, defend, and hold harmless Atala Procure Pvt Ltd, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your violation of these Terms or any applicable laws
• Your violation of any third-party rights
• Any content you submit or transmit through the Platform
• Your negligent or wrongful conduct

13 Dispute Resolution

13.1 Informal Resolution

Before initiating any formal proceedings, you agree to contact us at hello@econstru.com to attempt to resolve any dispute informally. We will endeavor to resolve complaints and disputes within 30 days.

13.2 Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms that cannot be resolved informally shall be settled by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in Bangalore, Karnataka, in English language.

13.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in class actions against us.

14 Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Subject to the arbitration provisions above, you agree that any legal action or proceeding relating to these Terms shall be brought exclusively in the courts located in Bangalore, Karnataka, India, and you consent to the jurisdiction of such courts.

15 General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Econstru regarding your use of the Platform.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
